Experiences

Mr Yin’s experience of legal services focuses on private fund, asset management plan, trust product, bank financing, non-performing assets and other asset management, investment and financing, company and merger and acquisition, asset management and financial dispute resolution, other resolution of civil and commercial disputes and criminal defense. Before becoming a lawyer, he served as senior legal adviser of China Telecom and Baosteel Group, and deeply participated in major projects such as comprehensive legal risk management, merger and acquisition, compliance of listed companies, and corporate governance.

Asset management and financial dispute resolution and special legal services:
  • Asset management dispute resolution on behalf of institutional investors

  • Acting as an agent in investment contract disputes between many investment institutions and actual controllers of target companies due to share repurchase and performance compensation.

  • Non-litigation special legal services on behalf of institutional investors

  • Providing special legal services for the registration of managers of many asset management institutions and the examination of compliance of asset management products.

  • Asset management dispute resolution on behalf of individual/institutional investors

  • Providing legal services for asset management dispute resolution on behalf of individual/institutional investors, and assisting investors in safeguarding their legitimate rights and interests.

  • Acting as an agent in disputes over investment income distribution and partnership agreement between investment institutions such as private equity funds and New OTC Market companies.


Investment and financing and corporate and merger and acquisition:

  • Assisting many investment institutions to complete the equity investment in pharmaceutical and other industries through due diligence, drafting investment agreements and other ways.

  • Domestic financing projects

  • Assisting enterprises in biotechnology and other industries to obtain equity investment from funds and other professional institutions.

  • Assisting foreign companies located in Singapore and other places to obtain Chinese institutional investment, and assisting clients to invest in red - chip restructuring projects.

Non-performing asset management:
  • Comprehensive management of non-performing assets projects

  • Entrusted by an asset management company to provide comprehensive management services for its non-performing asset projects located in different provinces and cities.

  • Assisting different customers to complete a series of projects such as the extension of entrusted loans and the transfer of creditor's rights

  • Entrusted by different customers, providing legal services such as whole-process follow-up, loan renewal, making relevant documents for their entrusted loan projects; As a special legal adviser, assisting clients in completing the transfer of nearly 600 million yuan of creditor's rights, and assisting in completing the follow-up matters such as partner withdrawal and change.

 
Other matters:
  • Before becaming a lawyer, Mr Yin had more than ten years of business experience in enterprise comprehensive legal risk management, corporate governance and other business, and was familiar with investment and financing, business contracts, intellectual property and other legal affairs. During that period, he deeply participated in major projects such as overseas IPO, reorganization of A-share listed companies, financing and share allotment of H-share listed companies, such as:
